NCSF Governance
Welcome to our Governance section.
North Cotswold Schools Federation MAT was incorporated as a Company Limited by Guarantee on 1st February 2022. The current Articles of Association were adopted on 1st October 2022.
We have 5 current Members. They have the power to issue instructions to our Directors to take specific action or to amend the Articles of Association. They can appoint new Members or Directors and remove existing ones. They will also appoint our external auditors and receive our annual report and accounts.

We have 7 current Directors who have three core functions relating to the operation of NCSF MAT: (i) to ensure clarity of vision, ethos and strategic direction; (ii) to hold the executive leaders to account for the educational performance of the schools and their pupils and the performance management of their staff and (iii) to oversee and ensure effective financial performance.

All Director appointments are for a period of 4 years except for ex-officio appointments.
Committees:
The Directors have established three committees; Finance, Audit & Risk and Education. The Chair of Finance is Mark John, the Chair of Audit & Risk is [to be appointed] and the Chair of Education is Clare Saunders.

Local Academy Committees:
We have also established Local Academy Committees for each school within NCSF MAT. The Terms of Reference and Scheme of Delegation which applies to the Local Academy Committees are attached below.
All governors are appointed by the Board of Directors although the consent of the Gloucester Diocesan Board of Education is required for all Foundation governors. The term of office is 4 years although the term of office for ex officio, staff and parent governors may cease earlier if their circumstances change.
